  1. The Financial Reporting Council’s Stewardship Code

4.1 Under the rules of the FCA Handbook, Fidera is required to include on this Website a disclosure about the nature of its commitment to the UK Financial Reporting Council’s Stewardship Code (the “Stewardship Code”) or, where it does not commit to the Stewardship Code, its alternative investment strategy.

4.2 Fidera pursues a special situations strategy and as such invests across a variety of asset classes and markets. Exposure to UK listed issuers as part of that strategy is limited and where such exposure is taken it is not typically through investment directly into individual equities. Therefore, whilst Fidera generally supports the objectives that underlie the Code, the nature of its investment strategy is such that its provisions are not materially relevant. The Firm has therefore chosen not to commit to the Code at this time.

  1. Shareholder Rights Directive (SRD II)

The Firm firmly believes in the importance of effective stewardship and long-term decision making, involving transparency of engagement policies between institutional investors and the investee companies.  The Firm does not hold large positions in equity securities or take material positions in equity securities of listed issuers.  As such, the Firm does not currently maintain and will not publish an engagement policy as specified by SRD II.  The Firm shall periodically review its investment strategies to determine whether its investment activities have changed to the extent that the Firm should adopt an engagement policy under SRD II.
